    There is a big difference between what spinoffs/spinouts mean for most companies and what Medtronic does, which then has a direct effect on shareholder equity. For most companies, that divestiture gives shares of the new company to the existing shareholders; e.g. GE shareholders received GE Healthcare shares. Medtronic, however, treats these as sales, which does help the Company bottom line the year of the sale, but then the lack of future income from that axed division is permanently lost. The shareholders of Medtronic stock receive close to nothing in return, possibly an extra penny or two in increased dividends, if anything.
